SWTP CEUs Terms of Use
This SWTP CEUs continuing education website (and any and all sub-domains) located at swtpceus.thinkific.com and any and all continuing education services and software provided through or by such websites or otherwise in connection with SWTP CEUs (collectively, including such websites and all such services, the "Site") is owned and operated by Social Work Test Prep, LLC d/b/a SWTP CEUs ("SWTP CEUs" or "Company"). For the purposes hereof, the users of the Site are referred to as "you," "your," or "User" and SWTP CEUs is referred to as the "Company," "we," "us," or "our." These Terms govern swtpceus.com, swtpceus.thinkific.com, and all related sub-domains used to deliver SWTP CEUs continuing education services.
The following is a legally binding agreement (the "Agreement") between you and the Company with respect to your access and use of the Site and any continuing education services provided through or in connection with the Site. For good and valuable consideration (the adequacy and sufficiency of which is acknowledged by each of the parties) of the mutual promises of the parties contained herein, the parties hereby agree as set forth below. All Users will be subject to and bound by this Agreement.
Acceptance of Terms
BY ACCESSING, BROWSING AND/OR USING THE SITE AND ANY SOFTWARE, SERVICE INFORMATION OR MATERIALS OFFERED ON OR VIA THE SITE, INCLUDING CONTINUING EDUCATION COURSES, YOU BECOME A USER OF THE SITE AND EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, ACCEPT AND AGREE TO EACH OF THE TERMS AND CONDITIONS SET FORTH BELOW. IF YOU DO NOT AGREE TO ACCEPT EACH AND ALL OF THE FOLLOWING TERMS AND CONDITIONS AS SET FORTH BELOW, PLEASE DO NOT ACCESS, BROWSE OR USE THE SITE OR ANY OF ITS SOFTWARE, SERVICES, INFORMATION, MATERIALS OR OTHERWISE.
Eligibility
You must be at least 18 years old and a licensed or license-eligible social work professional to use the continuing education services on the Site. By using the Site, you represent and warrant that you are at least 18 years of age and that you meet any professional eligibility requirements for continuing education in social work. If you are not 18 years of age or older, or do not meet professional eligibility requirements, please do not access, use or browse the continuing education services on the Site.
Privacy
Prior to providing any personal information to us about you on the Site, please review our Privacy Policy which is hereby incorporated by reference (as amended and supplemented from time to time). You agree and warrant that any and all of your personal information provided to us is true and correct, including, but not limited to, your name, physical or electronic mailing address, phone number, fax number, professional license number, licensing jurisdiction, and other information requested (and you agree to update the same for the duration of this Agreement). You understand that all personal information provided by you to us will be subject to the terms and conditions of our Privacy Policy. You acknowledge and agree that we may disclose information you provide if required to do so by any applicable law, or if we, in our sole and absolute discretion, believe that disclosure is reasonable or necessary to (1) comply with any applicable law, requests or orders from law enforcement, or any legal process (whether or not such disclosure is affirmatively required by applicable law); or (2) protect or defend the rights or property of the Company or any third party.
Email and Marketing Consent
You will receive transactional or service-related emails regarding your account, course access, and certificates. You may opt in to marketing or promotional emails and unsubscribe at any time via the link provided in such communications.
Continuing Education Services and ASWB ACE Compliance
SWTP CEUs (provider #2486) is approved as an ACE provider by the Association of Social Work Boards (ASWB). Company provides continuing education courses designed to meet ASWB ACE standards and intended to satisfy continuing education requirements for social work license renewal in participating jurisdictions. ACE provider approval is recognized by regulatory boards in the U.S. and Canada, except New York. Regulatory boards are the final authority on courses accepted for CE credit. ACE provider approval does not constitute approval or endorsement of individual courses.
Company makes reasonable efforts to ensure that all course content relates directly to social work scope of practice, is accurately grounded in applicable laws and professional standards, contains diverse and culturally responsive examples, maps to measurable learning objectives, and meets ASWB ACE content quality standards.
However, you acknowledge and agree that: (1) It is your sole responsibility to verify that any continuing education credits earned through the Site will be accepted by your state or provincial licensing board; (2) State and provincial boards maintain independent authority over continuing education requirements and may have specific requirements beyond ASWB ACE approval; (3) Company does not guarantee that any specific course will meet your jurisdiction's requirements; and (4) You are responsible for maintaining documentation of completed courses as required by your licensing board.
Educational Purposes Only - No Professional Advice
ALL COURSES AND CONTENT PROVIDED THROUGH THE SITE ARE FOR EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY. The courses are designed to enhance your professional knowledge and do not constitute, and should not be considered as, clinical advice, legal advice, professional consultation, or individualized guidance for specific client situations or cases.
Company does not provide social work services, clinical supervision, therapy, counseling, legal services, or any other professional services through the Site. The courses are not intended to serve as a substitute for professional judgment, consultation with qualified professionals, or individualized assessment of specific situations. You acknowledge that you are solely responsible for applying course content in accordance with your professional judgment, ethical obligations, applicable laws, regulations, and professional standards, and for seeking appropriate consultation when needed for specific practice situations.
Content Accuracy and Currency Disclaimer
While Company makes reasonable efforts to ensure content accuracy, you acknowledge and agree that: (1) Course content reflects information available at the time of course creation or most recent update; (2) Laws, regulations, professional standards, and best practices change over time, and content may become outdated after publication; (3) Company is not liable for any errors, inaccuracies, omissions, or outdated information in course materials; (4) Company does not guarantee that course content will reflect the most current laws, regulations, or professional standards at the time you take a course; and (5) It is your responsibility to verify that information is current and applicable to your specific jurisdiction and practice setting before applying it to your professional practice.
Company reserves the right to update course content at any time without prior notice to reflect changes in laws, professional standards, or best practices. However, Company is under no obligation to update course content and makes no representations about how frequently content is reviewed or updated.
Reliance on Course Content
You acknowledge and agree that you access and use course content entirely at your own risk and discretion. Any reliance you place on course content is strictly at your own risk. Company is not responsible for any decisions you make, actions you take, or consequences that result from your use of or reliance on course content. Professional practice decisions remain your sole responsibility regardless of course content, and you agree to exercise independent professional judgment in all practice situations.
No Guarantee of Results or Outcomes
Company makes no guarantees, representations, or warranties regarding any specific results, outcomes, or benefits you may or may not experience from taking courses. Professional development outcomes depend on numerous factors outside Company's control, including your individual effort, application of content, practice setting, and other variables. You acknowledge that completion of courses does not guarantee improved practice outcomes, client outcomes, professional advancement, or any other specific result.
CE Credit Reporting and Certificates
Upon successful completion of a continuing education course, Company will issue a certificate of completion indicating the number of CE credits earne and maintain records of your course completion for at least seven (7) years. We do not submit completions to licensing boards or the ASWB ACE Registry.
You acknowledge that: (1) CE credits are awarded only upon successful completion of all course requirements, including passing any required assessments; (2) It is your responsibility to submit certificates and documentation to your licensing board as required; (3) Company is not responsible for any failure by you to meet your state or provincial continuing education requirements; and (4) Company is not responsible for any delays or failures in credit reporting to licensing boards caused by factors outside our control.
Certificate Replacement: If you need a replacement certificate for a completed course, you may request one by contacting [email protected]. Replacement certificates for courses completed within the past seven (7) years will be provided at no additional charge. Company reserves the right to charge a reasonable administrative fee for replacement certificates requested for courses completed more than seven (7) years ago, if records are still available.

For concerns or complaints about course content, access, certificates, or any other aspect of our continuing education services, please contact [email protected]. All grievances will be reviewed promptly and handled in accordance with the Company's written grievance policy. We are committed to addressing your concerns in a fair and timely manner.
Accessibility and Accommodations
SWTP CEUs is committed to providing accessible continuing education and complies with all applicable accessibility laws, including the Americans with Disabilities Act (ADA). We provide reasonable accommodations upon request to ensure all learners can access and benefit from our courses. Course Completion Requirements
To successfully complete a continuing education course and earn CE credits, you must: (1) Complete all course modules and materials in their entirety; (2) Spend the minimum required time on course content as specified for each course; (3) Pass any required assessments with a score of 70% or higher (or as otherwise specified in the course); (4) Complete any required course evaluations; and (5) Provide accurate information for certificate generation and credit reporting.
You acknowledge that certificates will only be issued after all completion requirements are met, you may not share login credentials or allow others to complete course work on your behalf, any violation of course completion integrity may result in revocation of credits and termination of access to the Site, and time spent on course materials must represent actual engagement with content, not passive browser time.
Course Access and Duration
Upon enrollment in a course, you will have access to course materials for the duration specified at the time of purchase or enrollment. Access duration may be unlimited or time-limited depending on the specific course and pricing option selected. If time-limited access applies, the duration will be clearly indicated at the time of purchase. Once your access period expires (if applicable), you will no longer be able to access course materials unless you re-purchase or re-enroll in the course. It is your responsibility to complete courses within any applicable access period.
Unlimited CE Pass Policy: The Unlimited CE Pass provides one year of access to all available courses from the date of purchase. Access does not automatically renew. Continued access beyond the initial year requires re-purchase of the Unlimited CE Pass.
Account Security and Login Credentials
You are responsible for maintaining the confidentiality of your account login credentials (username and password) and for all activities that occur under your account. You agree to: (1) Keep your password secure and confidential; (2) Notify Company immediately of any unauthorized use of your account or any other breach of security; (3) Ensure that you log out from your account at the end of each session; and (4) Not share your login credentials with any other person or allow any other person to access courses using your account.
Company is not liable for any loss or damage arising from your failure to comply with these account security obligations. You acknowledge that sharing account credentials or allowing others to complete coursework on your behalf violates this Agreement and may result in immediate termination of your account, forfeiture of course fees, revocation of CE credits, and reporting to licensing authorities.
Recording, Screenshots, and Content Use
You may not record, screenshot, download, or copy any course content, except for your own certificate of completion and materials expressly marked as downloadable within the course. All other course materials—including readings, videos, and assessments—are for viewing within the platform only. You are strictly prohibited from: (1) Distributing, sharing, publishing, or transmitting any portion of course content to any third party; (2) Posting course content on any website, social media platform, or online forum; (3) Using course content for any commercial purpose; (4) Creating derivative works based on course content; or (5) Removing, altering, or obscuring any copyright notices, watermarks, or proprietary markings.
Any violation of these restrictions may result in immediate termination of your access to the Site, legal action to protect the Company's intellectual property rights, and liability for damages.
Billing and Pricing
You agree to pay Company's then-current fees for continuing education courses as set forth within the Site. Company accepts payments via a valid credit card or debit card using its third party billing service provider. Fees are due and payable upon your acceptance of the "Buy Now" button, enrollment in a course, or download of the applicable materials. All fees are non-refundable except as specifically provided in the Cancellations & Refunds section below.
You are responsible for paying any and all applicable taxes (including, without limitation, sales tax, services tax, use tax and value-added tax), duties, levies, charges and excises imposed by any government agency or entity, except for those taxes that may be based on the income of Company. The Company shall have no obligation, responsibility or liability with respect to your aforementioned responsibilities or liabilities to any government agencies or entities.
Cancellations & Refunds
Continuing education course fees are generally non-refundable. However, you may request a refund under the following limited circumstances: (1) Within seven (7) days of purchase if you have not accessed more than 10% of the course content; (2) If a course is cancelled or discontinued by Company before your completion; or (3) If technical issues prevent you from accessing course materials and Company is unable to resolve such issues within a reasonable timeframe.
Refund requests must be submitted in writing to [email protected] and will be reviewed on a case-by-case basis. Company reserves the right to approve or deny refund requests in its sole and absolute discretion. If a refund is approved, it will be processed within thirty (30) days and returned via the original payment method. You acknowledge that CE credits, once reported to licensing boards or the ASWB ACE Registry, cannot be "un-reported" and that receiving a refund does not entitle you to retain CE credits earned.
Trials and Promotions
From time to time, the Company may offer certain trial courses or promotional pricing to Users or new users. We reserve the right, in our sole and absolute discretion, to at any time (without any liability thereof) discontinue, modify, suspend, reorganize or terminate any such trials and promotions. Any trial or promotion will be subject to the terms and conditions of such trial or promotion, but in no event whatsoever shall any trial or promotion modify or change any of the terms and conditions of this Agreement (except as is expressly set forth by us in the trial or promotion). If you paid a greater amount for a continuing education course than that price which is offered during any trial or promotional period, you will not be entitled to any refund of the difference.
Course Content - No Guarantees Regarding License Renewal
The Company does not represent or endorse the accuracy or reliability of, and specifically and expressly disclaims any and all liability related to (whether directly or indirectly), any information displayed, uploaded, posted on the Site, or otherwise distributed or transmitted through the Site by any person or entity. Moreover, the Company in its sole and absolute discretion reserves the right to refuse to post, host or display, and the right to remove or delete, any information from this Site, in whole or in part, for any reason (or no reason) at any time without any notice thereof to you or any other person or entity.
Any comments, feedback or advice that you provide to us at, through, in connection with or relating to this Site shall be deemed to be non-confidential and you agree that we (and our affiliates) shall have an unrestricted and absolute and perpetual right and royalty-free license to post and publish the same (in our sole and absolute discretion) for any purpose whatsoever.
Company does not guarantee that: (1) Any CE credits earned through the Site will be accepted by your specific licensing board; (2) Completion of any course will satisfy all of your continuing education requirements for license renewal; (3) Course content will meet all specific requirements of your licensing jurisdiction; or (4) You will meet the professional standards required for license renewal in your jurisdiction. You bear sole responsibility for ensuring that courses completed meet your licensing board's requirements. Company bears no liability for any denial of license renewal, disciplinary action, or other consequences related to continuing education compliance. No refund of course fees or pro-rata portion thereof will be issued based on licensing board decisions regarding credit acceptance.
Content Quality and Standards
Company strives to provide high-quality continuing education content that adheres to professional standards. All courses are developed following established guidelines for content accuracy and currency, professional tone and readability, diverse and culturally responsive examples, alignment with social work scope of practice, and clear learning objectives and outcomes.
However, you acknowledge that: (1) Course content represents educational material and should not be construed as legal or clinical advice for specific situations; (2) You are responsible for applying course content in accordance with your professional judgment and applicable laws and ethical standards; (3) Company is not liable for any actions you take or fail to take based on course content; and (4) Professional practice decisions remain your responsibility regardless of course content.
Data Privacy and Users' Personal Information
The privacy and use of Users' Personal Information and related data is governed by our current Privacy Policy, as published on the Site, the entirety of which is hereby incorporated into these Terms of Service by reference, in its entirety and as a material component of the Terms of Service.
Company may share your course completion information with: (1) The ASWB ACE Registry for credit reporting purposes; (2) Your state or provincial licensing board (only if required by law or with your express consent); and (3) Third-party service providers who assist in course delivery and credit reporting (subject to confidentiality agreements). You consent to such sharing as necessary for the provision of continuing education services and credit reporting.
Your Conduct, Behavior and Duties
You agree that you will not use the Site or any continuing education services provided through the Site to: (1) Violate any local, state, national or international law or regulation; (2) Share or distribute course content, materials, or assessments without authorization; (3) Allow others to use your account credentials or complete coursework on your behalf; (4) Manipulate course completion tracking or assessment results; (5) Misrepresent your identity, professional credentials, or licensure status; (6) Engage in any conduct that would constitute academic dishonesty or professional misconduct; (7) Use automated systems or bots to access or complete course content; (8) Reverse engineer, decompile, or attempt to derive source code from any Site software; or (9) Interfere with or disrupt the integrity or performance of the Site or its services.
Violation of these conduct requirements may result in immediate termination of your access to the Site, forfeiture of any fees paid, revocation of CE credits, and reporting to appropriate licensing authorities.
Intellectual Property and Proprietary Information
All content on the Site, including continuing education courses, assessments, certificates, course materials, videos, graphics, logos, and text (collectively, "Content") is the exclusive property of Company or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and view course Content solely for your personal continuing education purposes. This license does not include any right to: (1) Download, copy, reproduce, or distribute course materials (except for your own completion certificate and as permitted under the Recording, Screenshots, and Content Use section for personal reference); (2) Create derivative works based on course Content; (3) Use course Content for commercial purposes; (4) Share login credentials or course access with others; or (5) Remove or alter any copyright or proprietary notices.
Any unauthorized use of Content may result in immediate termination of your access and may subject you to civil and criminal liability. You agree that Company may seek injunctive relief to prevent unauthorized use or distribution of Content.
Indemnification
You agree to indemnify, defend and hold harmless Company, its officers, directors, employees, agents, licensors, suppliers, and affiliates from and against any and all losses, expenses, damages, costs and liabilities, including reasonable attorneys' fees, resulting from: (1) Your use of the Site or continuing education services; (2) Your violation of this Agreement; (3) Your violation of any rights of another party; (4) Any misrepresentation of your professional credentials or licensure status; (5) Any actions taken by licensing boards based on your CE credit reporting or compliance; or (6) Any professional liability claims arising from your practice, regardless of whether you applied knowledge from courses.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (1) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE OR CONTINUING EDUCATION SERVICES; (2) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE; (3) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; (4) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SITE; (5) DECISIONS MADE BY LICENSING BOARDS REGARDING CE CREDIT ACCEPTANCE; (6) DENIAL OF LICENSE RENEWAL OR DISCIPLINARY ACTION BY LICENSING AUTHORITIES; OR (7) ANY MATTER RELATING TO CONTINUING EDUCATION SERVICES.
IN NO EVENT WILL COMPANY'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

THE SITE AND ALL CONTINUING EDUCATION SERVICES, CONTENT, AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
COMPANY DOES NOT WARRANT THAT: (1) THE SITE OR SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (2) DEFECTS WILL BE CORRECTED; (3) THE SITE OR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (4) COURSE CONTENT WILL MEET ALL REQUIREMENTS OF YOUR LICENSING BOARD; (5) CE CREDITS WILL BE ACCEPTED BY YOUR LICENSING AUTHORITY; OR (6) COMPLETION OF COURSES WILL SATISFY ALL CONTINUING EDUCATION REQUIREMENTS. YOUR USE OF THE SITE AND CONTINUING EDUCATION SERVICES IS AT YOUR SOLE RISK.
Changes to Courses and Services
Company reserves the right to modify, suspend, or discontinue any continuing education course or service at any time without notice. If a course you have enrolled in but not completed is discontinued, Company will make reasonable efforts to provide access to equivalent content or offer a refund, but Company shall have no liability for any such discontinuation. Course content may be updated periodically to reflect changes in laws, professional standards, or best practices. You acknowledge that content may change after your enrollment and that you are responsible for completing courses with current content.
Changes to Terms of Use
Company reserves the right, at its sole discretion, to modify or replace these Terms of Use at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Site after revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Site and continuing education services.
Termination
This Agreement shall remain effective until terminated (i) by us at any time upon notice thereof to you, or (ii) by you upon ten (10) business days' prior written notice to us.
Upon termination: (1) Your right to access the Site and continuing education services will immediately cease; (2) You will forfeit access to any incomplete courses (without refund); (3) Company will retain records of completed courses as required by ASWB ACE and applicable regulations; and (4) You will retain access to previously issued certificates of completion.
Upon any termination or expiration of this Agreement, any and all provisions and obligations which are of a continuing nature shall survive, including (without limitation) the sections titled Intellectual Property and Proprietary Information, Indemnification, Limitation of Liability, and Disclaimers.
General Provisions
Severability.
If any provision of this Agreement is declared by a court of competent jurisdiction to be illegal, invalid or unenforceable for any reason, then: (i) such provision will be enforced to the maximum extent permissible under the circumstances so as to effectuate the original intent of the parties with respect to such provisions; and (ii) the remaining provisions of this Agreement will be unaffected thereby and will continue to remain in full force and effect at all times.
Governing Law and Dispute Resolution.
This Agreement shall be governed by and construed in accordance with the laws of the State of California without regard to the conflicts of law provisions thereof. You expressly agree that any controversy, dispute or claim ("Litigation") arising out of, relating to, or in connection with, this Agreement or the Site, or the alleged breach thereof, or relating to our activities or services or to us otherwise under this Agreement, shall be settled by confidential binding arbitration in Los Angeles County, California, in accordance with the applicable rules of the American Arbitration Association, and judgment on the award rendered by the arbitrator(s) shall be binding on the parties and may be entered in any court having jurisdiction.
Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to your use of the Site or this Agreement must be filed within one (1) year after such claim or cause of action arose or was reasonably discovered, whichever is later, or be forever barred. In the event of any Litigation, both parties expressly and irrevocably consent to the exclusive venue and personal jurisdiction in Los Angeles County, California. In the event of any Litigation arising from, related to or in connection with this Agreement or the Site, the prevailing party thereof shall be entitled to recover its reasonable expenses, including (without limitation) attorneys' fees and the costs of litigation and arbitration.
Notices.
Unless otherwise stated herein, any notices hereunder shall be in writing and be delivered by hand, mail, fax, or email to the persons and at the addresses as set forth herein and shall be deemed given upon (i) posting of such notice on the Company Site; (ii) delivery if by hand, (iii) three (3) business days after mailing if by certified mail, return receipt requested, or (iv) confirmation of transmission in the case of fax or email.

Force Majeure.
Company will not be liable for any failure to perform acts due to causes beyond its control (including, without limitation, electrical outage, Internet Service Provider downtime, power failure, fire, flood, strike, civil disturbance, terrorism, war or Acts of God). If any such circumstances occur, Company shall provide reasonable notice to you of the same and the time for Company to perform hereunder will be extended for a period of time equal to the duration of the delay or default caused thereby.
Assignment.
Neither this Agreement, nor any rights or obligations hereunder, may be assigned or otherwise transferred (in whole or in part) by you without the prior express written consent of Company. Any attempted assignment by you in violation of this paragraph shall be null and void. This Agreement will be binding upon and inure to the benefit of the parties hereto and their respective successors, heirs, executors and permitted assigns. Company may freely assign or transfer (in whole or in part) this Agreement with or without notice thereof to you.
No Agency Relationship.
Nothing in this Agreement will be construed to constitute an agency, partnership, joint venture or employer-employee relationship between the parties. Neither party has the power, and will not hold itself out as having the power, to act for or in the name of, or to bind, the other party. Nothing contained in this Agreement should be construed to give either party the power to direct or control the day-to-day activities of the other party.
Third Party Beneficiaries.
The provisions of this Agreement are intended solely for the benefit of Company and you, and shall create no rights or obligations enforceable by any other party, except that licensing boards and professional regulatory authorities shall be deemed third-party beneficiaries with respect to provisions regarding professional conduct and CE credit reporting.
Remedies.
The rights and remedies of Company under this Agreement are cumulative and may be exercised singularly or concurrently in each and every instance. You acknowledge and agree that any actual or threatened breach of any of the provisions contained in the paragraphs titled Intellectual Property and Proprietary Information and/or Your Conduct, Behavior and Duties herein may result in immediate, irreparable and continuing damage to Company for which there is no adequate remedy at law, and Company may apply to any court of competent jurisdiction for immediate equitable relief (including, without limitation, specific performance or injunctive relief) without the need for posting of any bond.
Waiver.
Failure by Company to enforce any right, remedy or provision hereof will not be deemed a waiver of the same or any future enforcement of that or any other right, remedy or provision, unless (and only to the extent) that such waiver is in writing and signed by a duly authorized representative of Company.
Entire Agreement.
This Agreement, together with our Privacy Policy and any course-specific terms, contains the entire understanding between Company and You with respect to the subject matter hereof and supersedes any and all prior and contemporaneous agreements or understandings (whether oral, written, implied or otherwise) between the parties with respect to the subject matter hereof. Any modification, addendum, or amendment to this Agreement will not be effective unless the same is in writing and signed by duly authorized representatives of both parties hereof.
